Terms of Service

The agreement between you and Foriero s.r.o., the operator of AdTake. It covers what the service does, how prepaid credits work, what you may create with it, and who is responsible for what.

Who you are contracting with

AdTake is operated by Foriero s.r.o., a limited liability company registered in Czech Republic. When these Terms say "we", "us" or "our", they mean Foriero s.r.o.. When they say "you", they mean the person or organisation using the service.

By creating an account or using AdTake, you agree to these Terms. If you are agreeing on behalf of a company, you confirm you are authorised to bind it. Our registered details are:

Who may use the service

You must be at least 18 years old and legally able to enter into a contract. AdTake is built for advertising work, so most accounts belong to businesses, but an individual may use it on the same terms.

If you are a consumer rather than a business, you keep every right that consumer law in your country gives you. Nothing in these Terms takes those rights away, and where a clause here conflicts with them, the law wins.

Your account

You need an account to create projects. Sign-in is handled by our identity provider, which means we never see or store your password.

Keep your sign-in details to yourself. Anything done through your account is treated as done by you, so tell us promptly at support@adtake.ai if you think someone else has access.

Give accurate details and keep them current, particularly your email address. It is where we send billing confirmations and any notice about your account.

What the service does

You describe a product in plain language. AdTake turns that brief into a multi-shot storyboard you can edit, and, once production access is enabled for your account, into a delivered video advertisement.

An advertisement runs between 8 and 30 seconds in total, and every shot is at least 3 seconds long. The price of a project is shown in full before you commit to it.

We may change how the service works, add features, or retire them. If a change materially reduces what you already paid for, we will tell you and, where it is fair to do so, refund the affected credits.

Credits, prices and payment

AdTake is prepaid. You buy credits in advance and spend them on delivered advertisements. One credit is one delivered second, and one credit costs $1.20. There is no separate currency to decode and no invoice after the fact.

The price of a project is calculated from its length and shown before you approve it. Approving a project reserves the credits it quotes; they are only spent when the advertisement is delivered, and a reservation that does not result in delivery is released back to your balance.

Payments are processed by our payment provider. We never receive or store your full card number. Prices are stated exclusive of any VAT or sales tax that applies to you, which is added at checkout where required.

Auto-refill is off unless you switch it on, and it is always capped by a monthly limit you set. You can change or disable it at any time from your settings. Refunds and the statutory right of withdrawal are covered in our Refunds and Credits Policy.

What you put in

Your briefs, product descriptions, uploaded images and any other material you provide stay yours. We claim no ownership of them.

You grant us the licence we need to run the service on your behalf: to store your material, to process it, and to send it to the providers who generate your storyboard and video. That licence exists only to deliver the service to you and ends when the material is deleted.

You confirm you have the rights to everything you submit, including any brand, logo, image, voice or likeness in it, and that using it for advertising does not infringe anyone else's rights or break any law.

What you get out

Subject to your having paid for it, you own the advertisement we deliver and may use it commercially, including on paid media.

Generated output is not unique by nature. Similar briefs can produce similar results for different customers, and we cannot promise that any particular shot, phrase or visual is exclusive to you.

Output is generated by artificial intelligence and is marked as such, including in its embedded content credentials. Removing or obscuring that marking is not permitted, and in the European Union it may also breach the law.

Check what you receive before you publish it. Generated advertising can contain errors of fact, and you are the one making the claims to your audience. Our Acceptable Use Policy sets out what you may and may not create.

Acceptable use

Our Acceptable Use Policy forms part of these Terms. It lists what you may not create with AdTake, and it is short and specific rather than a catch-all.

Breaking it can cost you access. Depending on how serious the breach is, we may remove content, suspend a project, or close the account.

Availability and beta status

AdTake is in private beta. Parts of the service, including production video delivery, are enabled per account rather than for everyone, and features can change at short notice.

We aim to keep the service available and quick, but we do not offer a service level guarantee, and we may take it down for maintenance. Nothing here promises uninterrupted or error-free operation.

Keep your own copy of anything you need. We take backups, but the service is not a document archive and you should not rely on it as your only store.

The providers behind the service

We use specialist providers to run AdTake: hosting, identity, payments, and the models that generate storyboards and video. They act on our instructions, under contract.

Which providers process personal data, and where, is listed in the Privacy Policy and kept current there rather than repeated here.

Limits on our liability

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else the law does not allow us to limit. If you are a consumer, your statutory rights are unaffected.

Otherwise, and to the extent the law allows, we are not liable for indirect or consequential loss, for lost profits, lost revenue, lost business, or for the performance of any advertisement you run.

Where liability can be limited, our total liability to you for all claims arising in any twelve-month period is capped at the amount you paid us in that period.

Your responsibility to us

If someone brings a claim against us because of the material you submitted or the advertisement you published, you agree to cover the reasonable costs and damages that result, provided we tell you about the claim promptly and let you take part in defending it.

Ending the agreement

You can stop using AdTake and close your account at any time. Write to support@adtake.ai if you want us to close it for you.

We may suspend or close an account that breaches these Terms or the Acceptable Use Policy, that is used unlawfully, or where we are required to by law. Where it is safe and lawful to do so, we will tell you why and give you a chance to put it right.

Closing an account does not by itself forfeit unused credits. How those are handled, including when we close an account for a breach, is set out in the Refunds and Credits Policy.

Changes to these Terms

We may update these Terms. The effective date at the top of this page always shows when the current version took effect.

If a change materially affects your rights, we will tell you by email or in the product before it takes effect, and give you a reasonable period to disagree by closing your account.

Governing law and disputes

These Terms are governed by the law of Czech Republic, and the courts of Czech Republic have jurisdiction. If you are a consumer resident elsewhere in the European Union, you may also rely on the mandatory consumer law of your own country and bring proceedings in its courts.

Talk to us first. Most disputes are a misunderstanding about a charge or a delivery, and legal@adtake.ai reaches a person who can look it up.

Consumers in Czech Republic may also refer a dispute we cannot settle to the Czech Trade Inspection Authority, which provides out-of-court consumer dispute resolution. We will tell you how to reach it on request.
